The Founder is desirous of creating a Public Charitable Trust to work for public welfare, empowerment, education, human rights, and ethical technology adoption through Artificial Intelligence (AI), Data Science, Robotics, Ethical Recruitment, Digital Governance, and Cybersecurity.
The Trust shall operate:
Without profit motive , Without discrimination , For beneficiaries irrespective of caste, creed, religion, gender, nationality, disability, or socio-economic background.
To ensure that Artificial Intelligence serves society with dignity, inclusion, fairness, and opportunity, enabling individuals, communities, and institutions to benefit from digital transformation in an ethical, safe, and equitable manner.
The Founder contributes Rs. 10,000/- (Rupees Ten Thousand only) as the initial Trust Corpus.
The name of the Trust shall be:

The Trust may establish additional:
State Chapters , District Clusters , Forums ,AI Parks , Hybrid AI Clinics ,Skill Centres , Project Offices and Research Facilities anywhere across India.
The Trust shall operate for charitable purposes only, with no commercial motive.

Education , Healthcare & telemedicine , Agriculture tech ,Governance ,Human Resources and Employment , Women empowerment , Community safety and disaster preparedness
Achieve 100% AI Literacy among: Women & Youth ,Rural and Tribal communities ,SC/ST families Minorities & financially weaker groups ,Differently-abled persons and Migrant families etc
Responsible AI ,Cyber safety ,Grievance transparency ,Anti-fraud systems and Digital human rights etc.

State Missions , District Clusters , Chapters and Forums , AI Parks & Innovation Centers , Hybrid AI Clinics , Skill Development Centres , Project Offices & Regional Coordination Units and Partnerships with Government and Private Institutions etc
Through:
Global Chapters and Partner Missions , International Skill, Research, Training & Migration Alliances , Collaboration with NGOs, Universities, CSR Bodies and Regulatory Agencies
The Trust shall have the authority to:
Appoint a Chief Executive Officer (CEO)
Recruit required manpower, staff, experts, trainers, advisors & volunteers
Appoint officers to lead clusters, chapters, divisions, and missions
Establish, manage, and operate offices, training centers, research hubs, innovation labs, and service outlets anywhere in India and abroad
Engage with State and Central Government departments, private companies, NGOs, academic institutions and public bodies
Projects, programs, research and capacity-building initiatives may be carried out:
In any State or Union Territory of India
In collaboration with foreign countries, missions or global agencies
So long as such activities remain consistent with the charitable objectives of the Trust and applicable laws.
Trustees agree to:
Act as custodians of Trust objectives
Uphold integrity, accountability, transparency
Ensure all funds are used solely for public charitable purposes
Receive no financial benefit except reimbursement of legitimate expenses
Maintain confidentiality & data privacy as per DPDP Act
Prevent misuse of Trust assets
Maintain compliance and reporting
The Trust may:
Acquire/lease property , Recruit staff & volunteers , Enter MoUs , Accept donations, grants & CSR funds
Operate AI Parks & Clinics , Develop AI products , Submit proposals for national mission , Apply for CSR, 80G, and 12A
Funds shall only be used for Trust purposes , No trustee may draw salary , Annual audits mandatory , Maintain books of accounts , Maintain PAN, 12A, 80G, CSR, NGO-Darpan as applicable , Strict adherence to DPDP Act for all data handling
All data storage must remain inside India
Shall be made only in accordance with:
Indian Trusts Act, 1882 , Income Tax Act, 1961 , DPDP Act 2023 , and other governing laws.
Upon dissolution:
Assets shall be transferred to another public charitable trust or state or Central Government or Government undertaking companies
No trustee shall receive any property or funds
Jurisdiction shall lie exclusively with:
District Court of Kollam, Kerala
The Trust is established and shall operate strictly in accordance with:
1 Indian Trusts Act, 1882

Section 12A Registration , Section 80G Registration , CSR eligibility under Section 135 ,Compliance with Sections 11, 12, 13 & 115TD , Mandatory audit and reporting requirements , Prior approval from Income Tax authorities wherever required for: Changes to Trust Deed , Amendments affecting public charitable objects ,Modifications to governance structure , Utilisation of funds beyond stated objects , Reconstitution of Trustees ,Dissolution or merger with any other trust or body
3 Companies Act, 2013 (Section 135 CSR Rules)
For lawful receipt and deployment of CSR funds ,CSR reporting and project compliance

7️ Foreign Contribution (Regulation) Act, 2010 – FCRA, if applicable
Trust shall apply for FCRA when eligible , Maintain separate designated FCRA bank account
, Submit annual FC returns , Until approval is granted, Trust shall NOT accept foreign contributions directly or indirectly
8️ All relevant State and Central policies and statutory amendments, including:
Registrar & Stamp Act requirements , NGO-Darpan registration (NITI Aayog) Social Welfare & Skill Development norms ,DPDP Rules, 2024 (once notified)
9. Data Storage & Residency Compliance (Mandatory)
“All data storage, servers, cloud hosting and processing facilities shall be located within India, as mandated under DPDP Act 2023.” This applies to: Worker records , Health screening information , Training & certification databases , Research & RPA data
AI model outputs using personal datasets , Offshore processing permitted only via lawful anonymisation, without personal identifiers.
The following shall serve for life:
Founder & Executant , Co-Founder & Trustee
Unless removed under lawful conditions listed below.
A Founder/Co-Founder may cease to hold office ONLY if:
Voluntary resignation is made in writing, or
They are found guilty by a competent authority of:
Breach of Trust , Wilful fraud or misrepresentation , Misuse or diversion of Trust funds or assets , Unethical personal benefit from Trust activities , Conflict of interest resulting in private gain
Material violation of statutory acts:
Indian Trusts Act, 1882 , Income Tax Act, 1961 , DPDP Act, 2023 , Information Technology Act, 2000 , Companies Act (CSR Rules) , FCRA Act, 2010 (once applicable)
3. They are legally restrained from holding office by: Court order , Statutory authority , Tribunal decision
No Founder/Co-Founder shall be removed without:
Written notice , Reasonable opportunity to respond , Fact finding inquiry , Board Resolution requiring 75% majority , Compliance with Income Tax Department prior approval, where applicable
Documentation filed with relevant authorities
Upon removal, the individual shall: Vacate position immediately , Return all documents, devices & Trust assets , Cease to represent the Trust in any form , Remain liable for any proven misconduct or financial impropriety
The Trust may constitute an Advisory Board consisting of experts, thought leaders, and sector specialists from:
Government departments , Public sector undertakings (PSUs) , Private corporations , Academic institutions , Research bodies , NGOs and development agencies , Industry and technology domains
Advisory Board Members shall serve in a non-executive capacity only, with:
No managerial authority , No voting rights in Trust decisions , No fiduciary responsibility unless separately appointed as Trustee
Their role is strictly advisory, consultative and technical.
Employees currently serving: State Government , Central Government , Public sector undertakings (PSUs) , Public universities , Private companies and corporates MAY JOIN as Advisory Board Members, provided that: They act in a voluntary advisory capacity , Their participation does not interfere with their official duties, They obtain internal permissions if required by their employer , They do not represent their employer formally unless authorized , Such service shall not be deemed dual employment.
Appointment to the Advisory Board:
Does not constitute employment or contractual engagement with the Trust , Does not entitle the member to salary, benefits, claims or remuneration However: Token honorarium, travel reimbursement or project consultancy fees may be paid ONLY where legally permissible and approved by the Board.
Advisory Members must:
Act independently in the public interest , Avoid any conflict between Trust work and their employer
, Declare any potential conflict at the earliest instance , Any member found in material conflict of interest may be discharged immediately.
Advisory members may contribute to:
Project strategy ,Technical and policy guidance , Curriculum design and training modules, Government partnership frameworks , AI ethics and governance standards Fundraising and donor networks (without solicitation obligation)
Advisory appointments may be: Project-based , Term-limited (1 to 3 years) , Or extended by Board resolution Service is voluntary and may end by: Written resignation , Expiry of term , Board decision based on Trust requirements
Advisory Board Members shall: Not be held liable for Trust decisions or operations , Be indemnified for actions undertaken in good faith
